Membership Terms & Conditions
Effective Date: July 1, 2025
Please read these Terms & Conditions (“Terms,” “Agreement”) carefully before purchasing or participating in the Superbloom Coach Society Membership (“Membership,” “Program,” “Service”), operated by Moriah Riona LLC (“Company,” “we,” “our,” or “us”).
By enrolling in the Membership, you (“Client,” “Member,” “you”) agree to be bound by these Terms. If you do not agree to these Terms, do not purchase or use this Membership.

1. Program Description
The Membership is a recurring, subscription-based coaching and training program designed to support female entrepreneurs in building and scaling their businesses. Membership includes access to:

- Two live group coaching calls per month
- A monthly video training based on a focused business topic
- A downloadable mindset + strategy workbook
- Additional content or bonuses as announced

This Membership is delivered entirely online via [Zoom and digital platforms, including our learning portal].

2. Subscription & Billing
2.1. Recurring Payment
By enrolling, you authorize Moriah Riona Branding, LLC to charge your payment method on a monthly recurring basis (the “Billing Cycle”), until you cancel in accordance with Section 5. Your billing date will correspond with the date of your initial enrollment.
2.2. Payment Authorization
You agree to maintain a valid payment method on file and grant the Company ongoing authorization to charge your card each billing period. Failed payments must be resolved within 5 calendar days. Failure to do so may result in suspension or removal from the Membership.

3. No Refunds
All sales are final. Due to the digital nature of the Membership and immediate access to resources, trainings, and live coaching, we do not offer refunds—under any circumstances. This includes, but is not limited to, changes in your business, personal circumstances, or failure to utilize the content.
You are responsible for all payments regardless of your level of participation or access.

4. Access & Deliverables
You will receive access to current and future content released during your active billing period. You will not receive access to prior months’ content that was released before your enrollment date.
All content is delivered via digital download, streaming platforms, and/or email. It is your responsibility to access and download materials while your subscription is active.

5. Cancellation Policy
5.1. How to Cancel
You may cancel your Membership at any time by logging into your account or contacting our team at info@moriahriona.com. Cancellations must be completed before your next billing date to avoid being charged for the next month.
5.2. Immediate Termination of Access
Upon cancellation, your access to all Membership materials, replays, and coaching calls will be immediately revoked—including any content previously delivered during your subscription period.
There are no exceptions to this policy.

6. Intellectual Property Rights
All content provided in the Membership—including but not limited to videos, trainings, PDFs, recordings, templates, coaching methods, frameworks, and written materials—is the sole property of Moriah Riona LLC and is protected by copyright and intellectual property laws.
You may not copy, reproduce, distribute, sell, license, or publicly display any content without express written permission. Your access is for personal, non-commercial use only.

7. Coaching Disclaimer
While the Membership includes business, branding, and mindset coaching, no guarantees are made regarding specific results, income levels, or business growth. You acknowledge that your success depends on your own actions, implementation, and market conditions.
Coaching is not therapy or financial/legal advice. You are solely responsible for your business and personal decisions.

8. Community Conduct
While this Membership may include group coaching and access to shared digital spaces, you agree to maintain respectful and professional behavior at all times. We reserve the right to remove any participant for disruptive, disrespectful, or inappropriate conduct without refund.

9. Limitation of Liability
To the fullest extent permitted by law, Moriah Riona LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to your participation in the Membership. Your sole remedy for dissatisfaction is to discontinue use of the Membership.

10. Modifications to Program or Terms
We reserve the right to update or modify these Terms and the content or structure of the Membership at any time. If material changes are made, we will provide notice via email. Continued use of the Membership after such changes constitutes acceptance of the new Terms.

11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in El Paso County, Colorado.

12. Entire Agreement
These Terms constitute the entire agreement between you and Moriah Riona Branding, LLC regarding the Membership. No waiver or modification shall be valid unless in writing and signed by both parties.
