BOOKED-OUT BUSINESS CHALLENGE™
VIP EXPERIENCE TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your purchase of and participation in the Booked-Out Business Challenge™ VIP Experience (“VIP Experience” or “Challenge”), offered by Moriah Riona Branding (“Company,” “we,” “us,” or “our”).

By purchasing a VIP ticket, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. The VIP Experience

Your purchase of the Booked-Out Business Challenge™ VIP Experience includes:

Five (5) live Booked-Out Business Challenge™ trainings;
The digital Booked-Out Business Blueprint™ Workbook;
Five (5) live VIP Blueprint Coaching Calls; and
Temporary replay access to available Challenge trainings and VIP Blueprint Coaching Calls through the beginning of Dream Client Accelerator™.

The Challenge is currently scheduled for September 28–October 2, 2026.

Live Challenge trainings are currently scheduled for 1:00–2:00 PM Mountain Time, followed by VIP Blueprint Coaching Calls from 2:00–3:00 PM Mountain Time.

We reserve the right to make reasonable changes to the schedule, format, content, delivery method, or other details of the Challenge when necessary. If a material schedule change occurs, we will make reasonable efforts to notify registered participants.

2. Payment

The VIP Experience is offered for a one-time payment of $200 USD, unless a different price is expressly stated at the time of purchase.

Payment is due in full at the time of purchase.

You are responsible for providing complete and accurate billing and contact information when completing your purchase.

3. All Sales Are Final — No Refunds

All VIP ticket sales are final, non-refundable, and non-transferable, except where otherwise required by applicable law.

Please review the Challenge dates, times, inclusions, and these Terms carefully before purchasing.

Refunds, credits, or transfers will not be provided because you:

Change your mind;
Are unable to attend some or all of the live Challenge;
Experience a scheduling conflict;
Do not participate in the Challenge;
Fail to access or download provided materials;
Do not watch available replays;
Do not attend the VIP Blueprint Coaching Calls; or
Do not use some or all of the benefits included with your VIP ticket.

Your purchase reserves your access to the VIP Experience regardless of whether you ultimately choose or are able to participate.

Nothing in this section is intended to limit any consumer rights that cannot legally be waived.

4. Live Attendance & Replay Access

The Booked-Out Business Challenge™ is primarily a live experience.

You are responsible for determining whether the scheduled dates and times work for you before purchasing.

VIP participants will receive temporary access to available replays of the Challenge trainings and VIP Blueprint Coaching Calls through the stated replay-access period.

Replay access is temporary and does not include lifetime access.

We cannot guarantee that every portion of every live session will be available as a replay. Technical difficulties, recording failures, privacy concerns, platform limitations, or other circumstances may occasionally prevent a session or portion of a session from being recorded or distributed.

We will make reasonable efforts to provide the promised experience but cannot guarantee uninterrupted or error-free recordings.

5. Booked-Out Business Blueprint™ Workbook

Your VIP Experience includes the digital Booked-Out Business Blueprint™ Workbook.

The workbook is currently scheduled to be delivered electronically approximately one (1) hour before the first Challenge training begins.

You are responsible for providing a valid email address, monitoring your inbox, and checking spam, junk, or promotional folders as necessary.

The workbook is licensed solely to the VIP purchaser and may not be shared, distributed, reproduced, resold, or provided to another person.

Additional restrictions regarding the workbook and other Challenge materials are described in Section 9 below.

6. VIP Blueprint Coaching Calls

Your VIP Experience includes access to five (5) live group Blueprint Coaching Calls.

These calls provide VIP participants with opportunities to ask questions, receive coaching, and receive feedback related to the concepts presented during the Challenge.

Blueprint Coaching Calls are group coaching experiences.

Purchasing a VIP ticket does not guarantee:

That you will personally be selected for coaching;
That every question you submit will be answered;
A particular amount of individual coaching time;
Individual or private coaching; or
Any particular business or financial result.

Individual participation will depend on factors including attendance, available time, the number of participants seeking coaching, and the nature of the questions presented.

7. Recordings, Privacy & Participation

Challenge trainings and VIP Blueprint Coaching Calls may be recorded.

By voluntarily participating on camera, speaking during a session, submitting questions verbally, participating in the chat, or otherwise contributing to a recorded session, you understand that your name, image, voice, comments, questions, and/or contributions may appear in the recording made available to authorized Challenge participants.

If you do not wish to appear visually in a recording, you may choose to keep your camera turned off. You should also exercise discretion when sharing confidential, proprietary, sensitive, or personally identifying information during group sessions.

Your purchase of a VIP ticket does not, by itself, grant the Company unrestricted permission to use your image, likeness, statements, coaching interactions, or results as public-facing advertising or testimonial material.

Where additional consent is appropriate for public promotional use, we will request it separately.

8. Educational Purposes, Coaching & No Guarantees

The Booked-Out Business Challenge™ and VIP Experience are provided for educational and informational purposes only.

Nothing provided through the Challenge constitutes legal, financial, investment, accounting, tax, medical, mental-health, or other licensed professional advice.

You remain solely responsible for your business decisions, actions, implementation, and results.

While the Challenge is designed to help you develop greater clarity and create a Booked-Out Business Blueprint™, we make no guarantees regarding your results.

We do not promise or guarantee that participating in the Challenge will result in:

New clients or customers;
Increased leads or inquiries;
Increased revenue, profit, or sales;
A booked-out business;
Business growth;
Specific financial results; or
Any other particular business outcome.

Examples, testimonials, client results, case studies, or other statements regarding results represent individual experiences and should not be interpreted as promises or guarantees that you will achieve the same or similar results.

Your results depend on numerous factors outside our control, including your experience, market, audience, offer, pricing, business model, decisions, effort, implementation, consistency, economic conditions, and individual circumstances.

9. Intellectual Property, Copyright & Permitted Use

All original content and materials provided as part of the Booked-Out Business Challenge™ and VIP Experience—including, without limitation, trainings, videos, recordings, presentations, slides, worksheets, workbooks, written materials, graphics, exercises, prompts, templates, frameworks, methods, processes, and other educational materials—are owned by or licensed to the Company and are protected to the extent applicable by United States and international copyright, trademark, and other intellectual property laws.

This includes materials associated with proprietary Company concepts and frameworks, including the Booked-Out Business Blueprint™.

Purchasing a VIP ticket does not transfer ownership of any Challenge content, materials, intellectual property, trademarks, or proprietary frameworks to you.

Your purchase grants you a limited, revocable, personal, non-exclusive, non-transferable license to access and use the materials provided to you for your own individual educational and business-development purposes.

Unless you receive prior written permission from the Company, you may not:

Copy, reproduce, republish, or distribute Challenge materials;
Share, forward, upload, post, or otherwise distribute the workbook or other VIP materials;
Share your login information, replay links, access credentials, or other restricted content with another person;
Record, download, reproduce, or distribute Challenge trainings or coaching calls except where expressly permitted;
Sell, license, sublicense, rent, or commercially exploit Challenge materials;
Republish Challenge content on a website, social media platform, membership, course platform, file-sharing service, or other public or private distribution channel;
Present Company-created materials as your own;
Copy, adapt, or repurpose our proprietary training materials or frameworks into your own course, coaching program, membership, workshop, training, certification, methodology, workbook, template, or client deliverable;
Teach or distribute our proprietary materials or frameworks to your own clients, students, customers, members, or audience as though they were your own;
Create derivative educational or commercial materials that substantially reproduce protected Challenge materials; or
Remove, obscure, or alter copyright, trademark, attribution, or other proprietary notices contained in Challenge materials.

You may, of course, apply what you personally learn during the Challenge to your own business.

The distinction is simple: you may use what you learn; you may not copy, distribute, resell, or claim ownership of our materials or proprietary intellectual property.

All rights not expressly granted under these Terms are reserved by the Company.

10. Trademarks & Branding

Company names, program names, logos, slogans, and other source-identifying branding used in connection with the Challenge may constitute trademarks or other proprietary branding of the Company.

Use of the ™ symbol does not necessarily mean that a mark is federally registered.

Nothing in your purchase grants you permission to use Company trademarks, branding, logos, or program names in a way that suggests ownership, affiliation, endorsement, certification, licensing, or authorization where none exists.

11. Participant Conduct

We are committed to providing a professional, productive, and respectful Challenge environment.

You agree to interact respectfully with the Company, its team, other participants, and any guests.

We reserve the right to remove or restrict a participant's access to any training, coaching call, community, replay, or other portion of the VIP Experience if we reasonably determine that the participant has engaged in conduct that is:

Abusive;
Harassing;
Threatening;
Discriminatory;
Intentionally disruptive;
Unlawful;
Infringing upon another person's intellectual property or privacy;
Inappropriate for the group environment; or
Otherwise materially harmful to the Challenge experience or its participants.

Removal for violation of these Terms does not entitle the participant to a refund.

12. Confidentiality & Group Coaching

Because VIP Blueprint Coaching Calls are conducted in a group setting, other participants may share information about their businesses, experiences, strategies, or personal circumstances.

You agree to respect the privacy of other participants and not intentionally reproduce, publish, distribute, or publicly disclose another participant's private information or coaching conversation without their permission.

At the same time, because this is a group environment, we cannot guarantee that information you voluntarily share will remain confidential.

Please use appropriate discretion when deciding what information to disclose during a live session, coaching call, or chat.

13. Technology & Third-Party Platforms

The Challenge may be delivered using third-party platforms and services for video conferencing, email communication, payment processing, content hosting, scheduling, or other functions.

You are responsible for having suitable internet access, equipment, software, and an email account necessary to participate.

The Company is not responsible for a participant's inability to access the Challenge due to issues with their:

Internet connection;
Computer or mobile device;
Email provider;
Spam filters;
Software;
Login credentials; or
Other technology outside the Company's reasonable control.

We are also not responsible for temporary interruptions or outages caused by third-party providers outside our reasonable control.

If a technical problem within our reasonable control materially affects delivery of the Challenge, we will make reasonable efforts to provide an appropriate alternative.

14. Changes, Rescheduling & Cancellation by the Company

Occasionally, circumstances outside our control may require us to modify, postpone, reschedule, replace, or cancel a Challenge session or VIP Blueprint Coaching Call.

If a session must be changed, we will make reasonable efforts to notify affected participants and provide an alternative date, time, replay, replacement session, or other reasonably comparable means of delivering the affected content.

If the Company cancels the entire VIP Experience and does not provide a substantially comparable replacement, the Company may provide an appropriate remedy notwithstanding the general no-refund policy above.

15. Limitation of Liability

To the fullest extent permitted by applicable law, the Company and its owners, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or similar damages arising out of or relating to your purchase, participation in, or inability to participate in the VIP Experience.

To the fullest extent permitted by applicable law, the Company's aggregate liability arising out of or relating to your VIP ticket or participation in the VIP Experience will not exceed the amount you actually paid to the Company for the VIP ticket giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

16. Personal Responsibility

By participating in the Challenge, you acknowledge that you are responsible for evaluating the information presented and deciding whether and how to apply it to your own circumstances.

You accept responsibility for the consequences of your own business decisions and actions.

Your participation does not create a fiduciary, employment, partnership, joint venture, agency, or other similar relationship between you and the Company.

17. Governing Law & Disputes

These Terms and any dispute arising out of or relating to the VIP Experience will be governed by the laws of Colorado, without regard to conflict-of-law principles, except where applicable law requires otherwise.

18. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.

19. Entire Agreement

These Terms, together with any policies or terms expressly incorporated by reference at checkout, constitute the agreement between you and the Company regarding your purchase of the VIP Experience and supersede prior representations regarding the subject matter addressed herein, except where otherwise required by law.

20. Changes to These Terms

We may update these Terms from time to time when reasonably necessary.

The version applicable to your purchase will generally be the version presented or made available to you when you completed your purchase, except where subsequent changes are required or otherwise permitted by applicable law.
